Welcome to MAQIR. These Terms of Service ("Terms") govern your access to and use of MAQIR and any of its products or services, including our website, software applications, one-time purchases, and subscriptions (collectively, the "Service"). By creating an account, purchasing a product, accessing, or using MAQIR or any of its products or services in any way, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our Service.
1. Eligibility
You must be at least 18 years of age to use MAQIR. By creating an account, purchasing a product, or subscribing to any plan, you represent and warrant that you meet this age requirement and that all registration information you provide is accurate and complete.
2. Free Trial
We may, at our sole discretion, offer a free trial of MAQIR products with limited access to features or usage. The duration and limitations of any free trial will be clearly stated at the time of sign-up. You may only use one free trial per user or organization. Abuse of the trial system may result in immediate termination of your account. When a free trial expires, access to trial features will be restricted until you purchase a license or subscribe to a paid plan. Any data created during the trial will be preserved but may not be accessible until you upgrade. Free trials are provided "as-is" with no warranties and may be modified or discontinued at any time without notice.
3. One-Time Purchases
MAQIR offers products available for one-time purchase. The following terms apply to all one-time purchases:
a. License Grant
A one-time purchase grants you a non-exclusive, non-transferable license to use the purchased product. This is a license to use the software, not a transfer of ownership. The license is bound to your account and may be subject to device or seat limits as described at the time of purchase.
b. License Activation and Validation
Products may require license activation and periodic validation. Your product may contact our servers to verify your license status. A valid internet connection may be required for initial activation and periodic re-validation.
c. Refund Policy
All one-time purchases are final. We do not offer refunds for one-time purchases. We encourage you to take advantage of any available free trial before purchasing.
d. License Revocation
We reserve the right to revoke your license if you violate these Terms, engage in fraudulent activity, or misuse the product (including but not limited to sharing license keys, circumventing activation, or exceeding device limits).
4. Subscriptions
MAQIR offers paid plans that renew on a recurring basis. The following terms apply to all subscriptions:
a. Agreement
By subscribing to any MAQIR plan, you agree to pay the applicable fees and grant us permission to charge your payment method on a recurring basis (monthly or annually, as selected).
b. Access
Your subscription grants you access to the features and usage limits described in the selected plan. We reserve the right to update pricing, usage limits, and features with notice. Continued use of the Service after such changes constitutes acceptance.
c. Cancellation
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle. We do not offer refunds for unused time or partial billing periods.
5. User Responsibilities
You are responsible for your use of MAQIR products and services. By using the Service, you agree to the following:
- Backups: You are solely responsible for maintaining backups of your files, data, and content. While MAQIR products do not alter, modify, or delete your files, we strongly recommend maintaining regular backups as a general best practice.
- Lawful Use: You will use the Service only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations.
- Device Security: You are responsible for securing the devices on which MAQIR products are installed, including protecting against unauthorized access.
- Prohibited Conduct: You may not use the Service for any illegal activity, to infringe on the rights of others, or in any manner that could damage, disable, or impair the Service.
6. Payment and Billing
Payment processing for MAQIR products and services is handled by third-party payment providers (e.g., Stripe). MAQIR does not directly receive, process, or store your credit card or banking information. All transactions are subject to the terms and policies of the applicable payment provider. You are responsible for ensuring your payment information is accurate and up to date.
7. Data and Privacy
MAQIR desktop and mobile applications operate primarily on your local device. Your files and content are processed locally and are not transmitted to or stored on our servers. 8. Intellectual Property
All software, content, trademarks, logos, and other intellectual property associated with MAQIR are and remain the exclusive property of MAQIR and its licensors. Your purchase or subscription grants you a limited license to use the Service — it does not transfer any ownership rights. You may not reproduce, distribute, modify, or create derivative works from any MAQIR intellectual property without our prior written consent.
9. Software Terms
The following terms apply to all MAQIR software applications, including desktop and mobile products:
a. Restrictions
You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of any MAQIR software. You may not redistribute, sublicense, rent, lease, or lend the software to any third party.
b. Updates
MAQIR may release updates, patches, or new versions of its software. Some updates may be applied automatically. We are not obligated to provide updates or to maintain backward compatibility with older versions.
c. System Requirements
Software performance depends on your hardware, operating system, and configuration. We do not guarantee compatibility with all systems and are not responsible for issues arising from unsupported environments.
10. Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you suspect unauthorized use, please notify us immediately.
11. Termination
We reserve the right to suspend or terminate your access to MAQIR at our sole discretion, with or without cause, and without prior notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms
- Misuse of the Service (e.g., scraping, abuse of API limits)
- Fraudulent or harmful activity
- Circumventing license restrictions or sharing license keys
12. Indemnification
You agree to indemnify, defend, and hold harmless MAQIR and its affiliates, employees, and contractors from any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising out of or in any way connected with:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of a third party
13. Limitation of Liability
To the maximum extent permitted by law, MAQIR and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly. In no event shall our aggregate liability exceed the amount you paid (if any) for the Service in the 6 months preceding the event giving rise to the claim.
14. Disclaimer of Warranties
MAQIR is provided "as is" and "as available". We do not guarantee uptime, accuracy of results, or fitness for any particular purpose. Use the Service at your own risk.
15. Modifications
We reserve the right to update these Terms at any time. If changes are material, we will provide notice (via email or website notice). Continued use of MAQIR after such changes constitutes your acceptance of the new Terms.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles.
